Registration of newly established charitable (non-governmental) organizations

REGISTRATION TERM – 1 day.

LIST OF DOCUMENTS (ORIGINALS ONLY!):

  • draft decision of the founder or minutes of the general meeting of founders on the establishment of the CHO with the definition of the full and abbreviated name of the CHO, location of the CHO, full name and tax ID of the head of the CHO, list of types of activities according to the KVED
    • can be prepared by a notary for an additional fee with the client providing the necessary data;
    • a simple written form of the decision/minute is allowed;
  • draft charter
    • can be prepared by a notary for an additional fee with the client providing the necessary data;
    • a simple written form of the charter is allowed;
  • if the founder is an individual and is personally present (does not act through a power of attorney) – the founder’s passport and ID code (if issued);
  • the ownership structure of the CHO
    • data of individuals and legal entities are indicated in the ownership structure as determined by paragraph 8 of the Order of the Ministry of Finance No. 163 of March 19, 2021.
    • the CHO structure contains an indication of the absence of beneficial owners due to the legal nature of charitable institutions.
  • if the ownership structure contains individuals/legal entities whose rights of influence (corporate rights) are not included in the Ukrainian Unified State Register (cases with non-residents) – an official document(s) confirming each chain (“arrow”) of ownership within the structure (requirement of paragraphs 4 and 5 of the Order of the Ministry of Finance No. 163 of March 19, 2021); such documents are submitted despite the fact that by legal nature charitable or non-governmental organizations do not have ultimate beneficiaries.
  • if the founder of the CHO is a foreign legal entity – an extract from the trade (commercial) register of the country of origin of the parent company-founder OR another document confirming the registration of the foreign legal entity in the country of its location (certificate of good standing, certificate of incorporation, certificate of the company’s registered address)
    • attention! the extract (registration document) must not be older than 1 month from the date of its issuance (requirement of paragraph 13-1 of Article 15 of Law No. 755 dated 05.15.2003)
  • if the documents and application for registration are signed and submitted by the representative of the founder – a notarized power of attorney for the representative + the original passport of the representative.
  • an Application for Registration (form 2) that can be filled out by the client or a notary. The application may contain a page with a notification about automatic inclusion of the CHO into the Register of Non-Profit Institutions and Organizations.

Execution and registration of legal entities with the participation of citizens and companies under sanctions is strictly prohibited!

COST (2025) – from 3500 UAH. (including administrative fee), the final amount depends on the type and number of founders (individual or legal entity, resident or non-resident), the level of complexity of the ownership structure, the need for translation of documents into Ukrainian, the volume of documents for approval, examination and scanning during the registration.
