Registration of new Representative Offices of foreign companies and Representative Offices of foreign non-governmental/charitable organizations

TERM of REGISTRATION – 1-2 days.

LIST OF NECESSARY DOCUMENTS:

  • decision on the establishment of a Representative Office of a foreign company/CHO;
  • extract from the trade (commercial) register of the country of origin of the legal entity-founder OR other official document confirming the registration of a foreign legal entity in the country of its location (certificate of good standing, certificate of incorporation, certificate of the company’s registered address)
    • attention! the extract (registration document) must not be older than 1 month (requirement of clause 13-1 of article 15 of Law No. 755 of 05.15.2003);
  • ownership structure of the foreign legal entity-founder;
    • data of individuals and legal entities are indicated in the ownership structure as determined by paragraph 8 of the Order of the Ministry of Finance No. 163 of March 19, 2021.
  • in order to confirm the ownership structure – an official document(s) confirming each chain (“arrow”) of ownership depicted in the structure (requirement of paragraphs 4 and 5 of the Order of the Ministry of Finance No. 163 of March 19, 2021);
  • a notarized copy of the passport (identity document and citizenship document) for each ultimate beneficiary of the foreign company-founder issued no more than 90 days ago! (requirement of clause 22 of article 17 of Law No. 755 dated 05.15.2003);
    • if the beneficiary present has a passport with him, a notarized copy of the passport is drawn up by a notary when submitting documents for registration;
    • if the ultimate beneficiary is a citizen of Ukraine with an ID-card instead of a passport, a notarized copy of the passport (i.e., an ID-card) is not required to be submitted;
  • Regulations or other constituent document of a separate subdivision (Representative Office) of a foreign legal entity (draft);
  • notarized power of attorney for the representative + original of his passport
    • attention! the representative submitting the Application form 11 and all the documents for registration of the Representative Office must be a advocate (have a confirming certificate with him) or an individual entrepreneur with an activity code 69.10 under KVED;
  • an Application for Registration (form 11) is to be submitted; can be filled out by the client or a notary. Attention! Documents issued abroad must be previously legalized in their country of origin (apostille is to be affixed) as well as translated into Ukrainian with a notarized translation of the entire document (including the apostille). COST (2025): registration of Representative Offices of foreign commercial companies – from 4500 UAH. (including administrative fee),

registration of Representative Offices of foreign non-governmental charitable organizations – from 3500 UAH. (including administrative fee)

The final COST includes the amount of the state administrative fee and depends on the level of complexity of the ownership structure, the number of beneficial owners, the need for translation of documents into Ukrainian, the volume of documents for approval, examination and scanning of the package of documents during registration.
