Registration of Decisions on Termination and Final Termination of Legal Entities and Representative Offices of Foreign Legal Entities
(1) REGISTRATION OF DECISIONS ON TERMINATION of legal entities, Representative Offices of foreign legal entities:
LIST OF DOCUMENTS:
- decision on termination (original or notarized copy); the decision may be notarized by notaries upon submission of documents provided that the founder/participant or his representative is present under a notarized power of attorney;
Attention! the decision on termination must contain at least:- the fact of termination and its type (liquidation, transformation, division, merger, etc.);
- full name and ID code of the liquidator (in case of appointment of a termination commission – full names and ID codes of all members of the commission);
- the deadline for creditors to file their claims (not less than 2 months);
- in the case of signing the decision on termination by the representative of the founder/participant – a notarized Power of Attorney from the founder/participant to sign the decision on termination;
- the passport of the liquidator (head of the liquidation commission, termination commission) and his personal presence OR a relevant notarized Power of Attorney from the company being terminated;
Attention! Documents issued abroad must be legalized in their country of origin (apostille) before submission and translated into Ukrainian with a notarized translation of the entire document (including the apostille). Registration and registration of legal entities with the participation of citizens of the russian federation, beneficiaries from the russian federation and companies of the russian federation is strictly prohibited! Registration and registration of legal entities with the participation of citizens and companies subject to sanctions is strictly prohibited in most cases!

(2) REGISTRATION OF FINAL TERMINATION of legal entities, Representative Offices of foreign legal entities:

- Application of the established form (form 2 or form 11); Application forms for registration, see at the link: https://minjust.gov.ua/m/formi-zayav-u-sferi-derjavnoi-reestratsii-yuridichnih-osib-fizichnih-osib-pidpriemtsiv-ta-gromadskih-formuvan-10002
- certificate of the archival institution on the acceptance of documents that, according to the law, are subject to long-term storage.
- passport of the liquidator (head of the liquidation commission, termination commission) and his personal presence OR notarized Power of Attorney from the company being terminated for the submission of documents.
