Registration of newly established LLCs

REGISTRATION TERM – 1 day.

LIST OF DOCUMENTS (ORIGINALS ONLY!):

  • draft decision of the founder or minutes of the general meeting of founders on the establishment of LLC with the definition of the full and abbreviated name of the LLC, location of the LLC, full name and tax ID of the head (CEO) of the LLC, the amount of authorized capital, list of types of activities according to KVED;
    • can be prepared by a notary for an additional fee with the client providing the necessary data;
    • a simple written form of the decision/minutes is allowed; the notarial form of the decision/protocol is mandatory only in cases where the LLC being created will operate on the basis of a model charter (requirement of Part 10 of Article 11 of Law No. 2275-VIII of 06.02.2018);
  • draft charter (if the client has not chosen a model charter)
    • can be prepared by a notary for an additional fee;
    • signatures on the LLC charter are to be notarized
  • if the founder is an individual and is personally present (not acting through a power of attorney) – the founder’s passport and ID code (if issued);
  • LLC ownership structure
    • the necessary volume data of individuals and legal entities are indicated in the ownership structure in determined by paragraph 8 of the Order of the Ministry of Finance No. 163 of 19.03.2021.
  • if the ownership structure contains individuals/legal entities whose rights of influence (corporate rights) are not entered in the Ukrainian Unified State Register (cases with non-residents) – an official document(s) confirming each chain (“arrow”) of ownership within the structure (requirement of paragraphs 4 and 5 of the Order of the Ministry of Finance No. 163 of 03/19/2021);
  • a notarized copy of the passport (identity document and citizenship document) for each ultimate beneficiary of the LLC, issued no more than 90 days ago! (requirement of paragraph 22 of Article 17 of Law No. 755 of 05/15/2003)
    • if the beneficiary is present and has a passport with him, a notarized copy of the passport is made by a notary when submitting documents for registration;
    • if the ultimate beneficiary is a citizen of Ukraine with an ID card instead of a passport, a notarized copy of the passport (i.e., ID card) is not required;
  • if the founder of the LLC is a foreign legal entity – an extract from the trade (commercial) register of the country of origin of the parent company-founder OR another official document confirming the registration of the foreign legal entity in the country of its location (certificate of good standing, certificate of incorporation, certificate of the company’s registered address)
    • attention! the extract (registration document) must be issued no more than 1 month ago (requirement of clause 13-1 of article 15 of Law No. 755 as of 05.15.2003)
  • data on the taxation system chosen for the LLC (general system, single tax, VAT) and a list of types of activity according to the KVED;
  • if the documents and the application for registration are signed and submitted by the founder’s representative – a notarized power of attorney for the representative + the original passport of the representative.
  • together with the package of documents, an Application for Registration (form 2) is submitted, which can be filled out by the client or by a notary (when submitting documents). Attention! Documents issued abroad must be legalized in their country of origin (apostille affixed) before they are sent to Ukraine, then translated into Ukrainian in Ukraine (a notarized translation of the entire document including the apostille is required). Preparation and registration of legal entities with the participation of citizens of the Russian Federation, beneficiaries from the Russian Federation and companies of the Russian Federation is strictly prohibited! Registration and registration of legal entities with the participation of citizens and companies subject to sanctions is strictly prohibited!

COST – from 3500 UAH, the final amount depends on the volume of notarized documents and their copies (additionally from 1200 UAH), the type and number of founders (individual or legal entity, resident or non-resident), the level of complexity of the ownership structure, the number of beneficial owners, the need for translation of documents into Ukrainian, the volume of documents to analyze, examination and scanning during the registration.
